UAE Company With No Revenue: Do You Still Need to File Corporate Tax?

Your trade licence is ready. Your business plans are in place. But your first customer has not arrived—and your sales report still says AED 0.

Do you really need to think about Corporate Tax already?

Yes. A UAE company that is a taxable person generally must file a Corporate Tax return even if it has no revenue, has not started trading or is dormant. The FTA expressly confirms that taxpayers must file regardless of income level or company status. Whether tax is payable is a separate calculation. [1]

This guide explains what corporate tax filing with zero revenue means, what records you need and how to avoid turning a quiet business year into a compliance problem. It focuses on UAE companies subject to Corporate Tax; exempt entities, tax groups and individuals can have different requirements.

Does a company with no revenue need Corporate Tax registration?

For a UAE company subject to Corporate Tax, registration is not postponed until the first sale. Check the registration deadline applicable to your incorporation date and circumstances, then register through EmaraTax. Waiting for customers is not a registration exemption. [2]

The AED 375,000 figure is not a company registration threshold. Under the standard Corporate Tax rates, it is the taxable-income band to which 0% applies; the rate on taxable income above it is 9%. Special regimes have separate rules. [3]

What is a nil Corporate Tax return in the UAE?

People commonly use “nil Corporate Tax return” to describe a return showing no tax payable. It does not mean submitting an empty return or typing zero into every box.

A company can have no sales and still have licence expenses, bank charges, money introduced by its owner, unpaid bills or equipment. Those items can affect its accounts and the information reported in its return.

Keep these three ideas separate:

TermWhat it tells you
Zero revenueThe company earned no revenue during the period.
Accounting lossRecorded expenses exceeded recorded income. Tax adjustments may still be needed.
Zero tax payableThe tax calculation produces no payment obligation. A return can still be required.

Also check whether “no sales” really means “no income.” Bank interest or other income may need to be recorded even when you have issued no customer invoices.

A practical example of zero revenue and real expenses

Imagine a new consultancy, Example Consulting LLC, preparing to launch. This is an illustration, not a Taxograph client case.

During its first tax period, the owner contributes AED 20,000 as capital. The company earns no income and pays AED 12,000 in licence, office and bank costs. Assume these costs are correctly recognised as expenses for the period, fully deductible for tax purposes, and there are no other transactions or tax adjustments.

ItemAmount in AEDHow it is recorded
Owner’s capital contribution20,000Equity, not sales revenue
Revenue0No revenue earned
Expenses12,000Expenses for the period
Accounting result(12,000)A loss
Closing bank balance8,000An asset

Under these assumptions and ordinary tax treatment, the company has a tax loss and no Corporate Tax payable. It still files its return. If it elects Small Business Relief, the loss treatment changes, as explained below. [1, 4, 5]

The practical lesson: AED 0 revenue does not produce an all-zero balance sheet. Filing everything as zero would leave out the capital, spending and remaining cash.

Example company: AED 20,000 capital less AED 12,000 expenses leaves AED 8,000 cash, despite no revenue

Do dormant free zone companies need to file?

Yes, a free zone company subject to Corporate Tax must meet its filing obligations even when it is inactive. Free zone status—and possible eligibility for a 0% rate on qualifying income—does not itself remove the filing requirement. [6]

For example, a free zone consultancy waiting for its first contract should check its Corporate Tax registration and tax period now, rather than waiting until it begins invoicing.

Do not assume that having no employees or no business bank account changes the answer. The starting point is the entity’s tax status, not how busy its office is.

When is the return due if there is no income?

The normal deadline is nine months after the end of the tax period. Having no income does not create a later deadline. [7]

Tax period endsNormal filing deadline
31 December 202530 September 2026
31 March 202631 December 2026
31 December 202630 September 2027

As of 7 October 2026, the first deadline in this table has already passed. If it applies to your company and the return is outstanding, check EmaraTax and arrange filing promptly.

Confirm your actual period in EmaraTax. Do not assume every company has a calendar-year tax period. Our Corporate Tax filing deadlines guide provides further context.

Can a company with no revenue use Small Business Relief?

Potentially, but zero revenue alone does not establish eligibility. Small Business Relief is available to eligible resident persons whose revenue does not exceed AED 3 million in the current and all previous relevant tax periods. Qualifying Free Zone Persons and certain multinational group members are excluded. An election is required for each period. [8]

Under the published rules reviewed for this article, relief applies to eligible periods beginning on or after 1 June 2023 and ending on or before 31 December 2026. It does not remove the requirement to file. [5, 7]

A loss-making startup should compare the options before electing. Tax losses incurred in a period for which Small Business Relief is elected cannot be carried forward. Under ordinary treatment, eligible tax losses may be carried forward subject to the conditions. [5]

For Example Consulting LLC, simplified compliance should therefore be weighed against the possible future value of its tax loss.

What records should a zero-revenue company keep?

Prepare a small, organised evidence pack:

  • Trade licence, incorporation documents and Corporate Tax registration details.
  • Bank statements for the whole period, where an account exists.
  • Invoices and receipts for licence fees, rent, software and other spending.
  • Details of capital contributions and shareholder loans, with their supporting documents.
  • Records of business expenses paid personally by an owner.
  • Asset, liability and accounting records supporting the return.

Explain any missing bank account or records to the person preparing the accounts. Do not create fictional invoices or balances to fill a gap.

Relevant Corporate Tax records must generally be retained for at least seven years after the end of the tax period. [9] If your records need organising, Taxograph’s bookkeeping services can help.

Five steps for a taxable company with no revenue: check status, collect records, prepare accounts, review tax treatment and submit

How to prepare and file with zero revenue

Use this practical workflow:

1. Confirm the filing position. Check the company’s tax status, registration, tax period and deadline.

2. Collect the records. Include owner-paid expenses and funding, not just bank transactions.

3. Prepare the accounts. Reconcile balances and identify any income, expenses, assets and liabilities.

4. Review the tax treatment. Check adjustments, losses, free zone rules and any Small Business Relief election.

5. Complete and submit the return in EmaraTax. Use the actual figures and relevant disclosures, review the result, and retain the submission acknowledgement and supporting workings.

The fields and supporting information depend on your circumstances and elections. Saving a draft is not the same as successfully submitting a return.

Can there be a penalty when no tax is payable?

Yes. Late filing is a separate violation from failing to pay tax. The Corporate Tax penalty schedule provides for:

  • AED 500 for each month or part of a month during the first 12 months of late filing.
  • AED 1,000 for each month or part of a month from the thirteenth month onward. [10]

Late registration can separately attract AED 10,000. An FTA waiver initiative may apply if the first return is submitted within seven months of the first tax period’s end, subject to its conditions. That seven-month condition is different from the normal nine-month filing deadline; it is not a blanket waiver of late-filing penalties. [2]

What if you are closing the company permanently?

A temporary pause in trading and permanent closure require different actions. If the business has genuinely closed, check the Corporate Tax deregistration requirements instead of simply stopping returns.

The FTA’s deregistration service lists closure and liquidation among eligible circumstances and requests supporting documents, including financial statements and licence cancellation evidence where applicable. Licence cancellation should not be treated as confirmation that the Corporate Tax account has been closed. [11]

Frequently asked questions

My company never traded—does it still need to file?

If it is a taxable company with a return obligation, yes. No income or dormant status does not, by itself, remove that obligation. [1]

Does an owner’s deposit count as revenue?

A genuine, documented capital contribution or shareholder loan is generally recorded as funding rather than sales. Identify what the payment represents before classifying it; not every bank receipt is revenue.

Is a Corporate Tax return the same as a VAT return?

No. They are separate taxes with separate registration and filing requirements. Completing one does not complete the other.

Does this rule apply in the same way to a freelancer or sole proprietor?

No. An individual conducting business has separate rules. The FTA states that a natural person is subject to Corporate Tax on UAE business activities when annual business turnover exceeds AED 1 million. Wages, personal investment income and real estate investment income are excluded under the relevant rules. An already registered individual should check their continuing filing position before stopping returns. [12]

Can I submit the return myself?

Yes, taxpayers can file through EmaraTax. Make sure you understand the accounting figures, tax adjustments and elections before submitting. The FTA also permits assistance from approved tax agents listed on its website. [7]
